Last updated on June 2, 2024. Please read the Terms of Service before purchasing directly from us.

Terms of Service:

Introduction: These terms and conditions (Terms of Service) govern your use of our services to market and/or sell your products or services (the Products) through the company’s marketing channel. To use the service or any of our services (Our Services), you must create a valid customer account. We may modify our services from time to time.

Definitions in these Terms of Service: Defined or capitalized terms will have the meanings given in these Terms of Service. The term “Customer” refers either to you personally if you are using the services on your own behalf or to the company you represent if you are registered or using the service as part of a company or its affiliates (individually or collectively as the context requires) and choose to create a customer account and/or register on the service. The Customer agrees to comply with these Terms of Service.

In these Terms of Service, “Company,” “we,” “us,” and “our” (as applicable) refer to the contracting party (as described below) or any of its affiliates. An “Affiliate” means any other entity or individual directly or indirectly controlling, controlled by, or under common control with the entity. The term “Person” includes any individual, company, partnership, limited liability company, government agency, association, joint venture, authority, or any entity, whether or not it has a separate legal existence.

Creating a Customer Account: As directed by the service, you must create a customer account to benefit from our services. We may assist you in setting up an account after receiving the necessary information from you. You should familiarize yourself with all Terms of Service. You may not register under an alias or impersonate another customer’s login credentials, as this fraudulent behavior constitutes a violation of applicable laws (Applicable Laws) in the country. You agree to provide all relevant information to us as long as your account remains active. When registering your customer account, you must provide valid and original identification documents as required (in accordance with the applicable laws of the country) as we request through the service or your customer account.

Passwords: If you choose or are provided with a username, password, or other information as part of our security procedures, you must keep such information confidential. You are solely responsible for maintaining the security of your password and must not disclose it to any third party (except to authorized parties permitted by you to use your account under these Terms of Service). If your password is compromised, you should change it immediately. We reserve the right to disable any username or password at any time if we reasonably believe that you have failed to comply with any of these Terms of Service.

Specific Policies: By creating a valid customer account, you agree to comply with these Terms of Service upon account creation or registration.

Contracting Party: Inside and outside the United States: The contracting party is MorshedWorx, an LLC established under the laws of the United States with registration number 202401641DC and a registered address at 246 East Bridge Street, Westbrook, ME 04092, USA.

Our Marketing Services: Under these Terms of Service, we provide an online and mobile marketing channel where we display your Products (as chosen and approved by us) to customers through our funded marketing campaigns. The customer acknowledges that the company does not own the products or any inventory at any stage, as we provide our services under these Terms of Service. The products remain the property of the customer until successful delivery to the customer or return to the customer.

Customer Responsibilities: You may only use the channel for lawful purposes and in a legal manner. You must comply with all applicable laws in the United States. You must ensure your products match the images on the channel and the information provided to us and must avoid providing misleading information about your products or any trademark on the channel. If we find you in violation of these Terms of Service, you must assume responsibility in accordance with these Terms.

Our Policies: The Terms of Service apply to all activities or transactions conducted on or through the channel. If a customer or third-party brand owner notifies the company, or through court order or government directive, that the products or any part thereof infringe on intellectual property rights under US laws (which include but are not limited to copyrights, patents, database rights, trademarks, designs, know-how, and confidential information) or the rights of others, we may remove those products from the channel at our sole discretion or upon receiving a written request from the customer for product removal within a reasonable timeframe. The customer acknowledges that the company may introduce new rules and customer service guidelines from time to time.
